Anastasia Dukhina specialises in corporate law, M&A transactions, and project finance, with deep expertise in structuring complex, including cross-border, deals.
Anastasia has a proven track record of advising on Russian share deals, including M&A and venture capital investments, joint venture establishment, as well as project finance and large-scale integrated infrastructure projects. She acts for Russian and international clients on business structuring and market entry into Russia, reorganisation and liquidation of legal entities, and comprehensive business restructuring.
A significant part of her practice is dedicated to corporate governance. She advises clients on building and improving corporate governance systems in LLCs and JSCs, prepares corporate documents and shareholder agreements, assists governing bodies with their operations, and provides guidance on the allocation of powers, shareholder rights protection, and avoidance and resolution of corporate disputes.
Prior to joining the firm in 2021, Anastasia practised for six years at another leading Russian law firm.

- Sovereign investment fund – advising on the development of the first Russian electric vehicle; providing full-scope support of the acquisition of a stake in JSC KAMA, the developer of the ATOM electric vehicle project.
- S8 Capital – full legal support of the acquisition of the Russian business of Otis Elevator Company, a leading elevator equipment manufacturer.
- S8 Capital – full legal support of the acquisition of the Russian business of Continental, a leading European tyre manufacturer.
- S8 Capital – full legal support of the acquisition of the Russian business of Bridgestone, a leading Japanese tyre manufacturer.
- VTB Real Estate – advising on the establishment of a joint venture between VTB Real Estate and Russia’s largest container transportation operator to construct and subsequently operate a multimodal terminal complex.
- Russian investor – full legal support of the establishment of a joint venture within an industrial-production special economic zone to invest in the construction of a warehouse complex intended for long-term lease to OZON, one of Russia's largest marketplaces, and its subsequent management.
